1 Introduction

Welcome to BidX. These Terms govern your access to and use of the BidX platform, including our website, applications, APIs, and all related services.

By creating an account or using our Service, you agree to these Terms and our Privacy Policy. If using on behalf of an organization, you represent authority to bind that organization.

2 Definitions

• "Account" - Your user account to access the Platform
• "Content" - Text, data, documents, images, or other materials
• "User" - Any individual or entity using the Platform
• "Subscription" - Your paid service plan
• "API" - Application Programming Interface provided by BidX

3 Our Services

BidX provides an AI-powered RFP management platform including:

• Document analysis and intelligent response generation
• Knowledge base management
• Team collaboration and workflow tools
• Analytics and reporting
• API access for integrations
• Compliance and audit trail features

4 User Obligations

4.1 Eligibility

You must be 18+ years old with legal capacity to enter contracts. Business users must be authorized representatives.

4.2 Prohibited Conduct

You agree NOT to:

• Violate applicable laws or regulations
• Infringe intellectual property rights
• Upload malicious code or attempt security breaches
• Use the Service for illegal purposes
• Resell access without authorization
• Circumvent usage limits

5 User Content

You retain ownership of all Content you upload. By uploading, you grant us a limited license to process, store, and display such Content solely for providing our Services.

Your Content must not contain illegal material, violate third-party rights, or include malware.

6 Payment Terms

6.1 Billing

Subscriptions are billed in advance monthly or annually. Annual plans receive a discount.

6.2 Late Payments

Overdue accounts may be suspended. Interest of 1.5% per month may apply to overdue amounts.

7 Privacy & Data Protection

We process data in accordance with our Privacy Policy. Our security measures include:

• At-rest encryption (AES-256)
• Regular security audits

• GDPR and CCPA compliance

8 Intellectual Property

The Platform, including all software, algorithms, and documentation, is owned by BidX Technologies, Inc. We grant you a limited, non-exclusive license to use the Platform according to your subscription.

9 Third-Party Services

The Platform may integrate with third-party services. Your use of such services is subject to their terms. We are not responsible for third-party availability or security.

10 Service Level Agreement

10.1 Uptime

We commit to 99.9% monthly uptime for paid subscriptions.

10.2 Support Response Times

• Critical: 1 hour (Enterprise), 4 hours (Professional)
• High Priority: 4 hours (Enterprise), 8 hours (Professional)
• Standard: 24 hours (all tiers)

12.1 Modifications

We may modify these Terms with 30 days' notice for material changes.

12.2 Governing Law

These Terms are governed by Delaware law. Disputes shall be resolved through binding arbitration in Wilmington, Delaware.
