End User License Agreement

1 Acceptance of Terms

This End User License Agreement ("EULA") governs your use of the BidX platform, including all software, documentation, and services. By clicking "I Accept," creating an account, or using the Software, you agree to be bound by this EULA.

If you're using BidX on behalf of an organization, you represent that you have authority to bind that organization to this agreement.

2 License Grant

2.1 Scope of License

Subject to these terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use BidX for your internal business purposes during your subscription term.

2.2 License Tiers

• Free Tier: Limited access to basic features for evaluation
• Professional: Full access to standard features with usage limits
• Enterprise: Unlimited access with advanced features and dedicated support

3 Restrictions on Use

You agree NOT to:

• Copy, modify, or distribute the Software
• Reverse engineer, decompile, or disassemble the Software
• Rent, lease, or sublicense to third parties
• Remove proprietary notices or labels
• Use to develop competing products
• Violate applicable laws or regulations
• Attempt unauthorized system access
• Upload malicious code or content

4 Account Registration

You must create an account with accurate information and maintain the confidentiality of your credentials. You are responsible for all activities under your account.

5 Intellectual Property

5.1 Our IP

BidX and all related intellectual property rights remain our exclusive property, protected by copyright, trademark, and patent laws.

5.2 Your Content

You retain ownership of content you upload. You grant us a license to use this content solely for providing our services.

6 Data Privacy & Security

We process data in accordance with our Privacy Policy. Our security measures include:

• AES-256 encryption for data at rest
• TLS 1.3 encryption for data in transit
• Regular security audits and penetration testing
• SOC 2 Type II compliance

7 Subscription & Billing

Subscriptions are billed monthly or annually and automatically renew unless cancelled. All fees are non-refundable except as stated in this EULA or required by law.

8 Termination

You may terminate your subscription anytime through account settings. We may suspend or terminate access if you violate this EULA. Upon termination, you'll have 30 days to export your data.

9 Disclaimer of Warranties

10 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• We are not liable for indirect, incidental, or consequential damages
• Our total liability shall not exceed fees paid in the 12 months preceding the claim
• These limitations apply regardless of the legal theory

11 Governing Law

This EULA is governed by Delaware law. Disputes will be resolved through binding arbitration in Wilmington, Delaware. You waive the right to participate in class actions.
